Terms and Conditions
The agreement that governs your use of the Telegent platform, including acceptable use, messaging and telecom compliance, and the terms of service.

This document is a working template provided for informational purposes and must be reviewed and finalized by qualified legal counsel before launch. It does not yet constitute a binding agreement.
1. Agreement to Terms
These Terms and Conditions (the “Terms”) are a legal agreement between you and Telegent, Inc.(“Telegent,” “we,” “us,” or “our”) governing your access to and use of Telegent’s websites, consoles, APIs, and services (collectively, the “Services”). By creating an account, accessing, or using the Services, you agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.
2. Accounts
You must provide accurate and complete information when creating an account and keep it up to date. You are responsible for safeguarding your credentials and API keys, and for all activity under your account. Notify us promptly at legal@telegent.com if you suspect unauthorized use. You must be at least the age of majority in your jurisdiction and use the Services for lawful business purposes.
3. Acceptable Use
You agree to use the Services responsibly and in compliance with all applicable laws, carrier requirements, and industry standards. In particular, you agree to the following messaging and telecommunications rules:
- A2P registration. You must register application-to-person (A2P) messaging campaigns and brands as required (for example, via 10DLC registration) and keep registration information accurate.
- No spam. You may not send unsolicited, bulk, or unlawful messages, and you must honor opt-out requests (such as STOP) promptly.
- Consent. You must obtain and maintain all required consents before sending messages or placing calls, consistent with the Telephone Consumer Protection Act (TCPA) and applicable rules.
- CTIA and carrier guidelines. You must adhere to CTIA Messaging Principles and Best Practices and the requirements of underlying carriers.
- Lawful use. You may not use the Services for fraud, harassment, phishing, malware, illegal content, or any activity that violates law or the rights of others.
- No abuse of the platform. You may not attempt to disrupt, reverse engineer, or gain unauthorized access to the Services or to circumvent usage limits, security controls, or fraud protections.
We may suspend or filter traffic that we reasonably believe violates these rules or poses a risk to the network, our customers, or the public.
4. Service Availability
We strive to keep the Services available and reliable, but we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features, and we may perform maintenance that temporarily affects availability. Any service-level commitments, if offered, will be set out in a separate written agreement or service order.
5. Fees
Fees for the Services are described in your order, pricing page, or applicable service agreement. You agree to pay all fees and applicable taxes and regulatory surcharges. Usage-based charges are billed based on our measurements. Late or unpaid amounts may result in suspension. Except as required by law, fees are non-refundable.
6. Intellectual Property
The Services, including software, APIs, documentation, and branding, are owned by Telegent or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Services. You retain ownership of your data and content; you grant us the rights needed to operate and provide the Services on your behalf. You may not copy, resell, or create derivative works from the Services except as expressly permitted.
7. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that messages or calls will always be delivered, as delivery depends on carriers and networks outside our control.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TELEGENT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
9. Termination
You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Services in a way that creates risk or legal exposure for Telegent or others. Upon termination, your right to use the Services ends, and we may delete your data in accordance with our Privacy Policy and applicable law. Provisions that by their nature should survive termination will survive.
10. Governing Law
These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-laws rules. The state and federal courts located in Utah will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, and you consent to that jurisdiction and venue.
11. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Services after an update means you accept the revised Terms.
